These Terms of Service ("Terms") govern your access to and use of PostFlow, a social media scheduling and content management service ("the Service") operated by Forge Research Ltd, a company registered in England and Wales ("we", "us", or "our"). PostFlow is a trading name of Forge Research Ltd.

By creating a PostFlow account or using any part of the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and Forge Research Ltd. Please read them carefully before using PostFlow.

2. Description of the Service

PostFlow is a web-based application that allows content creators and social media managers to schedule, manage, and publish video content across multiple social media platforms, including TikTok. The Service enables users to connect their social media accounts, upload content, set publication schedules, and monitor posting activity from a single dashboard.

PostFlow integrates with third-party platforms including TikTok through their respective developer APIs. Your use of PostFlow in connection with these platforms is subject to the terms and policies of those platforms in addition to these Terms.

3. Eligibility

To use PostFlow, you must be at least 18 years of age. By using the Service, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into a binding agreement.

If you are using PostFlow on behalf of a business or organisation, you represent and warrant that you have the authority to bind that entity to these Terms.

4. Account Registration

To access the full features of PostFlow, you must create an account by providing a valid email address and creating a password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

We reserve the right to suspend or terminate your account if we reasonably believe that your account credentials have been compromised or that your account is being used in violation of these Terms.

5. Connecting Third-Party Accounts

PostFlow allows you to connect your TikTok account and other social media accounts to the Service using OAuth authorisation. By connecting a third-party account, you authorise PostFlow to access and use that account in accordance with the permissions you grant during the authorisation process.

You are solely responsible for ensuring that your use of PostFlow in connection with third-party accounts complies with the terms of service, community guidelines, and policies of those platforms. PostFlow does not accept responsibility for any action taken by a third-party platform in response to content published through the Service, including but not limited to account suspension, content removal, or termination of API access.

You may disconnect any third-party account from PostFlow at any time through your account settings or through the settings of the relevant third-party platform.

6. Content and Acceptable Use

You retain ownership of all content you upload to PostFlow ("Your Content"). By uploading content to PostFlow, you grant us a limited, non-exclusive, royalty-free licence to store, process, and transmit Your Content solely for the purpose of providing the Service to you.

You are solely responsible for Your Content and for ensuring that it complies with all applicable laws and the terms and community guidelines of the platforms to which it is published. You represent and warrant that:

You own or have the necessary rights, licences, and permissions to upload and publish Your Content through PostFlow. Your Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party. Your Content does not contain material that is unlawful, defamatory, obscene, harmful to minors, or otherwise objectionable. Your Content complies with the terms of service and community guidelines of TikTok and any other platforms to which it is published.

You agree not to use PostFlow to: publish content that violates any applicable law or regulation; publish content that infringes the intellectual property rights of any third party; publish spam, unsolicited commercial communications, or misleading content; attempt to gain unauthorised access to any part of the Service or to any third-party systems; interfere with or disrupt the integrity or performance of the Service; or use the Service in any manner that could damage, disable, overburden, or impair our servers or networks.

We reserve the right to remove any content that we reasonably believe violates these Terms or applicable law, and to suspend or terminate accounts that repeatedly or seriously violate these Terms.

7. Intellectual Property

All intellectual property rights in the PostFlow application, including its software, design, text, graphics, and other content created by us, are owned by or licensed to Forge Research Ltd. Nothing in these Terms grants you any right to use our intellectual property except as expressly permitted by these Terms.

You may not copy, modify, distribute, sell, or lease any part of the Service or its underlying software, nor may you reverse engineer or attempt to extract the source code of the Service, except where such restriction is prohibited by applicable law.

8. Subscription and Payment

PostFlow may offer paid subscription plans in addition to any free tier. Details of available plans, pricing, and features will be published on the PostFlow website. By subscribing to a paid plan, you agree to pay the applicable fees as described at the time of subscription.

Subscription fees are charged in advance on a monthly or annual basis, as selected at the time of purchase. All fees are stated inclusive of any applicable VAT unless otherwise indicated.

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period. We do not provide refunds for unused portions of a subscription period except where required by applicable law.

We reserve the right to change our pricing with reasonable notice. We will notify you of any price changes by email or by posting a notice on the PostFlow website at least 30 days before the change takes effect. Your continued use of the Service after the effective date of a price change constitutes your acceptance of the new pricing.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Forge Research Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of PostFlow, including but not limited to loss of data, loss of revenue, loss of business, or loss of goodwill.

Our total liability to you for any claim arising out of or in connection with these Terms or your use of PostFlow shall not exceed the greater of (a) the total fees paid by you to us in the 12 months preceding the claim, or (b) £100.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

10. Disclaimers and Service Availability

PostFlow is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the Service, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components. We do not warrant that content published through PostFlow will be published at the exact time scheduled, as publication is subject to the availability and performance of third-party platforms.

We reserve the right to modify, suspend, or discontinue the Service or any part thereof at any time with reasonable notice. We shall not be liable to you or to any third party for any modification, suspension, or discontinuation of the Service.

11. Third-Party Services and Links

PostFlow integrates with third-party services including TikTok. We are not responsible for the content, privacy practices, or terms of any third-party service. Your use of third-party services is governed by their respective terms and policies.

The PostFlow website may contain links to third-party websites. These links are provided for your convenience only. We do not endorse and are not responsible for the content of any linked website.

12. Termination

We may suspend or terminate your access to PostFlow at any time, with or without notice, if we reasonably believe that you have violated these Terms or applicable law, or if we decide to discontinue the Service.

You may terminate your account at any time by contacting us at [email protected] or through your account settings. Upon termination, your right to use the Service will cease immediately and we will delete your account data in accordance with our Privacy Policy.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to These Terms

Your continued use of PostFlow following the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service before the effective date of the changes.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Forge Research Ltd with respect to your use of PostFlow and supersede all prior agreements, representations, and understandings.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
